Advertiser Terms & Conditions

1. Introduction
These Terms & Conditions govern all advertising campaigns booked with Chapara.
"Chapara" means Chapara Ltd, a company registered in England & Wales under company number 17361660.
By booking a campaign with Chapara, the advertiser agrees to these Terms & Conditions.
2. Campaign booking
A campaign is confirmed once Chapara has accepted the booking and the required payment has been received, unless otherwise agreed in writing.
Campaign start dates are subject to vehicle availability and installation scheduling.
3. Artwork & approval
Chapara will design the advertisement using the information, branding assets and content provided by the advertiser.
A proof of the artwork will be provided for review before it goes live.
The advertiser is responsible for checking that all text, images, prices, contact details, QR codes and other information are accurate before giving final approval.
The advertiser may request reasonable amendments before approving the final design.
An advertisement is only scheduled onto the in-vehicle screens after the advertiser has provided final approval.
Once final approval has been given, any additional design changes may incur extra charges and may delay the campaign start date.
4. Advertiser content
The advertiser confirms that all information, logos, trademarks, images and other materials supplied to Chapara may be legally used for advertising purposes.
The advertiser accepts full responsibility for the accuracy and legality of the advertisement.
5. Prohibited content
Chapara reserves the right to refuse or remove advertisements that:
- contain misleading or false information;
- promote illegal products or services;
- contain offensive, discriminatory or inappropriate content;
- infringe copyright, trademarks or other intellectual property rights;
- may damage the reputation of Chapara or its advertising network.
If an advertisement is rejected, Chapara will explain the reason and, where appropriate, allow the advertiser to submit revised content.
6. Campaign duration
Campaign duration is agreed before launch.
Installation and removal dates may vary slightly due to operational requirements.
7. Vehicle allocation
Advertisements are displayed across vehicles within the Chapara driver network.
Vehicle allocation may change during the campaign due to normal operational requirements.
Chapara does not guarantee placement in a specific vehicle unless agreed in writing.
8. Screens & installation
Advertisements are displayed on digital screens installed in participating vehicles. Chapara is responsible for supplying, installing and maintaining those screens, for scheduling the advertiser's content onto them, and for removing that content at the end of the campaign.
If a screen becomes faulty or damaged during the campaign, Chapara will make reasonable efforts to repair or replace it as soon as practicable.
9. QR code tracking & reporting
Where included, Chapara will provide QR code tracking and campaign reporting.
Reports are intended to provide campaign performance data and engagement insights.
QR scan data reflects recorded interactions only.
Chapara does not guarantee enquiries, leads, bookings or sales resulting from any campaign.
10. Payments
Campaign fees must be paid in accordance with the agreed quotation or invoice.
Unless otherwise agreed, campaigns will not commence until payment has been received.
11. Changes & cancellations
The advertiser may request changes before the artwork receives final approval.
Once artwork has been approved or the campaign has been scheduled, additional charges may apply.
Cancellation after a campaign has gone live on the screens may result in partial or full campaign charges.
12. Campaign availability
Chapara will use reasonable efforts to maintain the agreed level of campaign coverage throughout the campaign.
Vehicle maintenance, driver availability or other operational circumstances may occasionally affect campaign distribution.
13. Intellectual property
The advertiser retains ownership of its trademarks, logos and brand assets.
The advertiser grants Chapara permission to use these materials solely for the purpose of producing and displaying the agreed advertising campaign.
14. Limitation of liability
Nothing in these Terms limits or excludes Chapara's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.
Subject to that, Chapara is not liable for:
- loss of profits, revenue, business, contracts, goodwill or anticipated savings;
- indirect or consequential loss of any kind;
- the outcome of a campaign, including any absence of enquiries, leads, bookings or sales;
- losses arising from content supplied by the advertiser, or from the advertiser approving artwork that later proves inaccurate;
- interruptions to campaign display caused by vehicle maintenance, driver availability, accident, theft or vandalism, beyond the replacement obligations in section 8.
Chapara's total liability arising out of or in connection with a campaign, whether in contract, tort (including negligence) or otherwise, is limited to the fees paid by the advertiser for that campaign.
Each advertiser indemnifies Chapara against claims brought by third parties arising from the content of that advertiser's advertisement, including claims of infringement, misleading advertising or breach of advertising standards.
15. Events outside our control
Chapara is not liable for delay or failure to perform where it is caused by events outside its reasonable control, including severe weather, industrial action, supplier failure, equipment or network failure, civil disruption, or interruption of transport or utilities. Where such an event materially affects a campaign, Chapara will contact the advertiser to agree an extension, rescheduling or a proportionate refund of the affected period.
16. Data protection
Each party will comply with the UK GDPR and the Data Protection Act 2018. Chapara processes the advertiser's contact and campaign data as a controller, as described in our Privacy Policy.
Campaign reporting supplied to advertisers is compiled by Chapara from its own operational records. Advertisers do not receive personal data about drivers, and QR scan reporting is provided only as aggregate counts and never identifies an individual who scanned a code.
17. Governing law
These Terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
These Terms are agreed between businesses. Where the advertiser is acting in the course of a business, the Consumer Rights Act 2015 does not apply to the campaign.
18. Changes & contact
Chapara may update these Terms & Conditions from time to time. The Terms that apply to a campaign are those in force when the campaign was confirmed.
